JOSH RABINOWITZ joined the Firm in January, 2000, and became a partner in January, 2003

Josh's practice is focused on the representation of businesses and individuals in their real estate, business, and related legal needs. Specifically, Josh's practice focuses on all aspects of real property matters, including purchase and sale transactions, commercial leases, financing, work-outs, tax deferred exchanges, and boundary disputes. His business practice encompasses counseling technology and emerging growth companies; planning, structuring, forming and advising entities (including corporations, limited liability companies and partnerships); negotiating, reviewing and drafting commercial contracts; and mergers and acquisitions.

Josh's recent work and representative transactions include:

Commercial Real Estate Sales, Financing, and Leasing

  • Represented the buyer in the acquisition of a commercial/industrial complex commonly known as 600 Pine Avenue, Goleta, California.

  • Represented the buyer in the acquisition of a multi-tenant office complex commonly known as 420 S. Fairview Avenue, Goleta, California.

  • Represented the seller in the sale of a multi-tenant office building commonly known as 205 East Carrillo Street, Santa Barbara, California.

  • Represented the landlord in the leasing of approximately 100,000 square feet of office space in business park commonly known as 50-90 Castilian Drive, Goleta, California.

  • Represented the landlord in the leasing of building to Rite-Aid Pharmacy in Carpinteria, California.

  • Represented the purchaser/borrower in the assumption of an approximate $9,450,000 CMBS loan in connection with the purchase of multi-tenant office building in Carpinteria, California.

Estate Properties

  • Represented the buyer in the purchase and subsequent sale of an approximate 85 acre ranch property in the hills of Summerland, California.

  • Represented the buyer in the purchase of an approximate 18 acre estate in Montecito, California, commonly known as Val Verde.

  • Represented the buyer in the purchase of an approximate 11 acre estate in Montecito, California, commonly known as El Fureidis.

Mergers and Acquisitions

  • Represented the seller in the sale of substantially all of the seller's assets to window manufacturer Loewen Inc.

  • Represented the seller in the sale of substantially all of the seller's assets to surveillance and security services and products company Quadnetics Group PLC.

  • Represented the seller in the sale of a majority interest of the seller's membership interests to mail, packaging and logistics company Bpost.

  • Represented the buyer in the acquisition of substantially all of the assets of an international shoe and apparel company.

Josh earned his Bachelor of Arts degree from the University of California at San Diego, with departmental honors, in 1990. He earned his law degree from the University of San Diego School of Law in 1995 and a Masters of Laws (LL.M.) in Taxation from the University of San Diego School of Law in 1998.
